Terms of Service (International E‑Commerce Version)

These Terms of Service (“Terms”) apply to purchases made through the online store operated at https://riddim.world (the “Store”).
1) Who We Are (Seller Information)

2) Scope
These Terms govern all orders and purchases of physical goods and digital products (including digital content and/or digital services) offered in the Store. Any different or additional terms proposed by customers do not apply unless we explicitly agree to them in writing.
3) Definitions
- Consumer: an individual purchasing mainly for personal use (not for business).
- Business Customer: a person or entity purchasing in the course of business or professional activity.
- Digital Products: downloadable content, software, media, or digital services.
- Goods with Digital Elements: physical items that include or require digital components to function.
4) Placing an Order & Contract Formation
4.1 Product Information
All product descriptions, images, and information in the Store are provided for general information and do not constitute a binding offer.
4.2 How the Contract is Formed
You place an order by completing the checkout process and clicking the final purchase button (e.g., “Buy now”, “Pay now”, or similar). Your order is a binding offer to purchase.
A contract is formed when we send you an order confirmation by email (typically within three (3) business days).
4.3 Correcting Errors
You can correct input errors before submitting your order by using the editing functions in the checkout process or your browser navigation.
4.4 Email Delivery
You are responsible for ensuring your email address is correct and that messages from us are not blocked (e.g., by spam filters).
5) Prices, Taxes, and Payments
5.1 Prices
All prices shown are total prices and include applicable taxes (e.g., VAT), unless stated otherwise.
5.2 Payment
Payment is due before shipment/delivery unless “pay by invoice” is explicitly offered. Available payment methods are displayed at checkout and may include payment services such as Stripe and other providers.
5.3 Payment Providers
If you pay via a third-party payment provider, your payment is processed under that provider’s terms and privacy policy. We do not store full payment card details.
6) Shipping, Delivery & Risk
6.1 Shipping Costs
Shipping costs are shown during checkout unless an item is explicitly marked “free shipping”.
6.2 Dispatch Time
Unless otherwise specified on the product page, physical goods are ready to ship after payment is received.
6.3 Worldwide Delivery
We deliver worldwide. Delivery times depend on destination and shipping method.
6.4 Transfer of Risk (Shipping)
For Consumers, the risk of accidental loss or damage passes to you when you receive the goods.
For Business Customers, risk generally passes upon handover to the carrier, unless mandatory law provides otherwise.
7) Digital Products: Delivery & Access
Digital Products are delivered electronically (e.g., download link, account access, or email delivery). Delivery occurs after successful payment unless stated otherwise.
You are responsible for meeting any stated system requirements.
8) Updates for Digital Products / Goods with Digital Elements
Where legally required (especially for Consumers under applicable EU/German law), we provide updates necessary to maintain functionality and security for Digital Products and Goods with Digital Elements, unless this obligation is validly excluded.
- The update period and scope (where applicable) are described on the product page.
- We may use third parties (e.g., manufacturers) to provide updates.
- You must install updates according to the instructions provided. If you fail to install an update within a reasonable time after we informed you, we may not be liable for defects that are solely caused by not installing that update.
9) “As Described” Products & Deviations (Negative Quality Agreement)
The essential characteristics of products are listed in the product description.
If a product deviates from its usual characteristics or expected use, we will clearly disclose this on the product page. Where required, you may be asked to explicitly confirm such deviation during checkout.
10) License for Digital Products
Unless otherwise stated on the product page, Digital Products are licensed (not sold) for private and business use. You may not resell, redistribute, or sublicense Digital Products unless explicitly permitted in writing.
11) Retention of Title
Physical goods remain our property until full payment has been received.
12) Right of Withdrawal (Consumers)
If you are a Consumer, you may have a statutory right of withdrawal (cancellation). Details, deadlines, and exceptions are set out in our Cancellation Policy / Withdrawal Notice.
For Digital Products, the right of withdrawal may expire early under certain conditions (e.g., when digital content is supplied and you have expressly agreed to immediate performance and acknowledged the loss of the right of withdrawal), as described in the Cancellation Policy.
13) Warranty (Legal Guarantee)
13.1 Consumers
Consumers have statutory warranty rights under applicable law.
13.2 Business Customers
For Business Customers, the warranty period for delivered goods is twelve (12) months, unless mandatory law requires otherwise.
13.3 Inspection Recommendation
Consumers are requested to check deliveries promptly for completeness, obvious defects, and transport damage and to notify us and the carrier as soon as possible. This does not affect your statutory rights.
14) Liability
14.1 General Limitation
Subject to the exceptions below, our liability for breach of contract and tort is limited to intent and gross negligence.
14.2 Unlimited Liability in Certain Cases
We remain fully liable for:
- injury to life, body, or health;
- mandatory statutory liability (e.g., under product liability law);
- breach of an essential contractual obligation (a “cardinal obligation”) even in cases of slight negligence, limited as follows.
14.3 Foreseeable Damages
If we breach an essential contractual obligation with slight negligence, our liability for property and financial loss is limited to the foreseeable, typical damage.
14.4 Updates
If you do not install an update provided and communicated to you within a reasonable period, we are not liable for defects caused solely by the absence of that update.
15) Right of Retention
You may only exercise a right of retention if it relates to claims arising from the same contractual relationship.
16) Contract Language
The contract language is German. English translations may be provided for convenience; in the event of discrepancies, the German version prevails.
17) Governing Law & Jurisdiction
17.1 Governing Law
These Terms are governed by the laws of Germany. For Consumers, this choice of law applies only insofar as it does not deprive you of mandatory protections under the laws of your country of habitual residence.
17.2 CISG Exclusion
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
17.3 Jurisdiction (Business Customers)
If you are a merchant/business customer, a legal entity under public law, or a special public-law fund, the exclusive place of jurisdiction is our registered office.
18) Dispute Resolution (Consumers)
We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
19) Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
20) Subscriptions (Digital Magazine Subscriptions)
20.1 Subscription Products
We offer digital subscription products (“Subscriptions”) which may include access to digital content such as magazine issues, articles, archives, or other subscriber-only features.
The specific scope of a Subscription (duration, access level, included content, pricing) is described on the relevant product page at the time of purchase.
20.2 Billing & Renewal
Unless otherwise stated at checkout, Subscriptions are billed in advance and may renew automatically at the end of each billing period (e.g., monthly or annually).
If your Subscription renews automatically, you authorize us (and our payment service provider, e.g., Stripe) to charge the payment method on file for the renewal amount.
20.3 Managing or Cancelling Your Subscription
You can cancel a Subscription at any time before the next renewal date via:
- your customer account (if available), or
- by contacting our customer service.
If you cancel, you will retain access until the end of the paid billing period unless otherwise stated.
20.4 Price Changes
We may change subscription prices in the future. If required by law, we will notify you in advance. Price changes apply only to future billing periods.
20.5 Failed Payments
If a payment fails, we may attempt to charge the payment method again. If payment remains unsuccessful, we may suspend or terminate access until payment is successfully processed.
20.6 No Guarantee of Continuous Availability
We aim to provide uninterrupted access to subscription content. However, temporary downtime may occur due to maintenance, updates, or technical issues. This does not automatically entitle you to a refund, unless required by mandatory law.
21) Digital Content Delivery & Access
21.1 Delivery Method
Digital content is provided via download, website access, email delivery, or via an account area, depending on the product.
21.2 Technical Requirements
You are responsible for ensuring you have the necessary technical requirements (internet access, compatible device, software, and email access).
21.3 Account Responsibility
If digital access is linked to an account, you are responsible for keeping login credentials confidential and for all activities under your account.
21.4 Access Issues
If you experience access problems, please contact customer service. We will make reasonable efforts to restore access within a reasonable time.
22) Right of Withdrawal & Digital Subscriptions / Digital Content
22.1 Consumer Withdrawal Rights (EU)
If you are a Consumer in the EU/EEA/UK, you may have a statutory right of withdrawal.
22.2 Early Expiry for Digital Content
For Digital Products and Subscriptions that include immediate access to digital content, your right of withdrawal may expire early once performance begins, if you:
- expressly consent to the immediate start of performance, and
- acknowledge that you thereby lose your right of withdrawal.
This confirmation may be collected during checkout.
22.3 No Refund After Use (Where Permitted)
Where legally permitted, once digital access has been granted and/or content has been consumed, refunds may be excluded.
Nothing in these Terms limits mandatory statutory consumer rights.
23) Returns & Refunds (Merch / Physical Goods)
23.1 Returns (Consumer Withdrawal)
If you are a Consumer, you may have the right to return physical goods within the statutory withdrawal period, as described in our Cancellation Policy.
23.2 Condition of Returned Goods
Returned goods should be unused, undamaged, and in their original packaging where possible. You may inspect goods as you would in a retail store.
23.3 Return Shipping Costs
Unless otherwise stated, the customer bears the direct cost of returning goods, as permitted by law.
23.4 Refund Processing
Refunds will be issued to the original payment method after we receive and inspect the returned goods, unless mandatory law requires otherwise.
23.5 Exclusions
Certain items may be excluded from returns (e.g., sealed goods once unsealed, hygiene items, or personalized goods), if applicable and legally permitted.
24) Shipping, Customs, Import Duties (International Orders)
24.1 International Shipping
We ship worldwide. Delivery times vary by destination and carrier.
24.2 Customs & Import Taxes
For deliveries outside the EU, your order may be subject to customs duties, import taxes, or handling fees charged by local authorities. These charges are not included in our prices and are the responsibility of the customer.
24.3 Customs Delays
Customs processing may cause delays beyond our control. Such delays do not constitute a defect or breach of contract.
25) Chargebacks, Fraud Prevention & Payment Disputes
25.1 Chargebacks
If you initiate a chargeback or payment dispute without first contacting us to resolve the issue, we reserve the right to suspend access to digital products/subscriptions while the dispute is being investigated.
25.2 Fraud Prevention
We reserve the right to refuse, cancel, or hold orders if fraud or unauthorized payment is suspected.
25.3 Cooperation
In the event of a payment dispute, you agree to cooperate by providing information reasonably required to investigate the issue.
26) Refund Policy for Subscriptions (Recommended Clause)
Except where mandatory law provides otherwise:
- Subscription fees are non-refundable once the billing period has started.
- Cancelling stops future renewals but does not refund the current period.
- If a subscription is cancelled due to our fault (e.g., prolonged unavailability), we may provide a pro-rated refund or credit at our discretion.
27) Promotional Codes, Discounts & Gift Subscriptions
27.1 Discount Codes
Discount codes may be subject to restrictions (minimum order value, expiry date, limited products, one-time use). Details will be provided with the code.
27.2 Abuse
We reserve the right to cancel orders or deactivate discount codes if misuse, fraud, or manipulation is suspected.
27.3 Gift Subscriptions
If gift subscriptions are offered, the recipient’s access is subject to these Terms. Unless mandatory law provides otherwise, gift purchases are non-refundable once access is provided.
28) Pre-Orders (If Applicable)
If we offer pre-orders for merch or special editions, the estimated shipping date is an estimate only. We will inform you if delays occur. You may have statutory cancellation rights.
